OFFICIAL NOTICE  BY-LAW CHANGE

     The Shenandoah Valley Chapter #313 Bylaws have been thoroughly reviewed, resulting in four formal amendments recommended by the Bylaws Committee.  These changes were approved by the Board of Directors at its meeting on March 2, 2021, and will also require the approval of the membership. 

     This Notice meets the requirement of at least thirty (30) days written notice to all members prior to the date of the membership vote on May 11, 2021.

     The first amendment updates the Chapter address, as follows:  “ARTICLE II.  The principal office of the Chapter shall be at the Commander’s residence or office.  The Chapter’s mailing address shall be SHENANDOAH VALLEY CHAPTER #313, KOREAN WAR VETERANS ASSOCIATION, 310 Clay Hill Drive, Winchester, VA 22602-2364, to which all communications shall be directed.”

     The second amendment grants Associate members serving on the Board a vote, as follows:  add to “ARTICLE III, MEMBERSHIP, Section 1, Qualifications of Membership:  “…Associate members elected or appointed to non-command positions who are currently serving on the Chapter Board of Directors, as described under Article IV Election of Officers and Directors, have a vote in Chapter matters.” 

And,  “ARTICLE VI, Membership, Section 2, Membership Procedures; B. Voting Rights:    “Each Regular Member in good standing shall be entitled to one vote.  Each Associate member serving on the Chapter Board of Directors shall be entitled to one vote in Chapter affairs.” 

     The third amendment enables the use of technology, when needed, to hold meetings.   There are no plans to hold such meetings and this is simply a contingency measure.  Add, as follows, to:  “ ARTICLE VI, MEETINGS, Section 1…The use of advanced technology, such as ZOOM, Teams, etc., to hold meetings is authorized, when necessary.”

     The fourth amendment, also under ARTICLE VI, MEETINGS, Section 4, is a quorum increase from ten (10), as follows:  “Fifteen (15) members shall constitute a quorum at any Chapter membership meeting.”

Code of Conduct Application

A reminder, in last month’s issue of the “Chatter”, the “Code of Conduct” form was included on page 7 to be filled out. Those members who wish to subscribe to this Code may do so and return the form to Doug Hall, our Chapter Secretary.
